Mutual Non-Disclosure Agreement

Effective date: October 11, 2026
Last updated: October 11, 2026

This Mutual Non-Disclosure Agreement (the “Agreement”) applies between 253 HVACR Techs (“we,” “us,” or “our”) and any customer, property owner, developer, contractor, or partner (“you”) who requests or receives an estimate, proposal, maintenance program, training engagement, or service agreement from us. By exchanging confidential information in connection with these services, both parties agree to the terms below.

1. Purpose

The parties may share confidential information while evaluating, pricing, planning, or performing HVACR services, maintenance programs, training, or related business discussions. This Agreement protects that information on a mutual basis.

2. Confidential information

“Confidential Information” means non-public information disclosed by either party, including:

  • Pricing, estimates, proposals, contract terms, and discount structures.
  • Property details, building systems, equipment inventories, access codes, and site plans.
  • Business plans, financial information, tenant or resident information, and vendor relationships.
  • Technical data, diagnostic findings, methods, processes, and training materials.
  • Any information marked confidential or that a reasonable person would understand to be confidential.

3. Obligations of both parties

Each party agrees to:

  • Use the other party’s Confidential Information only for the purpose of evaluating or performing the services discussed.
  • Not disclose it to any third party except employees, contractors, or advisors who need it for that purpose and are bound by similar obligations.
  • Protect it with at least the same care used for their own confidential information, and no less than reasonable care.
  • Not use it to compete with, or gain an unfair advantage over, the disclosing party.

4. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party.
  • Was already known to the receiving party without a duty of confidentiality.
  • Is received from a third party without breach of any obligation.
  • Is independently developed without use of the disclosing party’s information.
  • Must be disclosed by law or court order, provided the receiving party gives reasonable notice when legally permitted.

5. Ownership and return of information

All Confidential Information remains the property of the disclosing party. Upon request, the receiving party will return or destroy copies of it, except for records kept to meet legal, warranty, or accounting requirements, which remain protected under this Agreement.

6. Term

This Agreement begins when Confidential Information is first exchanged and continues for three (3) years after the last exchange, unless a signed service contract states a longer period.

7. No obligation to proceed

Exchanging information under this Agreement does not obligate either party to enter into a service contract, purchase, or any other agreement.

8. Remedies

A breach of this Agreement may cause harm that money alone cannot fix. The non-breaching party may seek injunctive relief in addition to any other remedies available under law.

9. Governing law

This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Pierce County, Washington.
